Flat Round: A flat round is a financing round at the same valuation as the previous round. While better than a down round, it indicates the company hasn't grown as expected and still causes dilution without the validation of increased valuation.

Common Misconceptions

Flat rounds are neutral. They signal stagnation and can concern future investors.
Flat rounds don't dilute. They still dilute existing shareholders proportionally.
It's better to wait for an up round. Running out of cash is worse than a flat round.
